By accessing this website or engaging Art e Craft Studio (“Art e Craft”, “we”, “us”, “our”) for design services, you (“Client”, “you”) agree to be bound by these Terms & Conditions. If you do not agree, please do not use the site or engage our services.
Art e Craft provides creative services including but not limited to brand identity, illustration, packaging and print design, motion graphics, animation, and web design. The specific services for any engagement, along with deliverables, timelines, and fees, will be set out in a separate Statement of Work (SOW) agreed in writing by both parties.
Each project begins with an SOW that sets out scope, deliverables, milestones, timelines, and fees. The SOW takes precedence over these general Terms where there is a conflict. No work begins until the SOW and any required deposit are received.
Our fees are set out in the SOW for each project. Unless otherwise agreed, we invoice 50 percent on signing and 50 percent on final delivery; larger projects may be split into more milestones.
Invoices are payable within 14 days of issue. Late payments may attract interest at 1.5 percent per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend work on accounts that are more than 30 days overdue.
All fees are exclusive of applicable taxes, which will be added where required by law.
Final approved deliverables. On full payment of all fees, we assign to you the copyright and all other intellectual property rights in the final approved deliverables, except for any third-party materials (such as licensed fonts or stock imagery) which remain governed by their original licenses.
Working files and preliminary materials. Sketches, source files, working drafts, alternative concepts, and unused designs remain our property unless explicitly transferred in writing.
Our portfolio. We reserve the right to display the work in our portfolio, on our website, in case studies, and on social media, and to submit it for industry awards, unless an NDA in writing says otherwise.
You are responsible for providing complete, accurate, and timely input — briefs, brand assets, approvals, content, and feedback. Delays in providing input may push timelines and may attract additional fees if they materially affect the project.
You warrant that any materials you provide us (logos, copy, photography) are yours to use or properly licensed. You indemnify us against claims arising from your provided materials.
We treat your confidential information with care. We will not share your business information, project details, or unreleased work with third parties without your consent, except where strictly necessary to deliver the project — for example, with printers, developers, or freelancers under NDA.
We will perform our services with the care and skill reasonably expected of an experienced creative studio. Beyond that, we make no warranties — express or implied — regarding the commercial outcomes of any work, including but not limited to sales, traffic, awards, or recognition.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the services is limited to the fees actually paid by you to us for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, consequential, or special damages, even if advised of the possibility.
Either party may terminate an engagement on written notice. On termination, you remain liable for fees for work completed up to the termination date plus any non-cancellable third-party costs already committed (printers, licenses, etc).
On termination, we hand over the work-in-progress in the form it exists at that date. Intellectual property in any deliverables transfers only when the corresponding fees have been paid in full.
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chandigarh.
We may update these Terms from time to time. Material changes will be flagged on the site. Continued use of the site or our services after changes means you accept the updated Terms.
